Tata Capital IPO News: Tata Capital, a part of Tata Group, is all set to hit the Dalal Street. The Tata company has filed updated draft papers or draft red herring prospectus (DRHP) for its IPO, comprising up to 47.58 crore equity shares.Tata Capital is one of the leading NBFCs. In September 2022, the Reserve Bank of India (RBI) had classified Tata Capital as an upper-layer NBFC, making it mandatory to list within three years. The three-year deadline ends in September 2025.According to DRHP which the Tata company filed on Monday, Tata Capital IPO is a combination of a fresh issuance of 21 crore equity shares and an offer for sale (OFS) of 26.58 crore shares.Under the OFS, Tata Sons will offload 23 crore shares of Tata Capital, according to the draft papers. Tata Capital is a flagship financial services company of the Tata Group. Tata Capital is a subsidiary of Tata Sons Private Limited. Tata Sons is the promoter of Tata Capital, commanding 92.83 per cent stake as on March 31, 2024, according to the consolidated financial statements of Tata Capital uploaded on its website.Under the OFS, the International Finance Corporation (IFC) will divest 3.58 crore shares.Tata Capital IPO Size Tata Capital IPO size could be USD 2 billion, valuing the company at around USD 11 billion.If successful, Tata Capital IPO will become the largest initial share sale in the country's financial sector. Tata Capital has said that the funds raised through IPO will be used for augmentation of the company's Tier-1 capital base to meet future capital requirements, including onward lending.Tata Capital had filed draft papers in April with the markets regulator SEBI for an IPO through a confidential pre-filing route and had received the regulator's approval in July. Following this, company was required to file an updated DRHP before filing an RHP.Tata Capital IPO will also mark Tata Group's second public market debut in recent years, following the listing of Tata Technologies in November 2023.Tata Capital FinancialsFor the financial year 2024-25, Tata Capital reported a profit of Rs 3,655 crore as compared to Rs 3,327 crore in FY2024. Its revenues surged to Rs 28,313 crore in FY2025 from Rs 18,175 crore in FY2024.Tata Capital IPO is being managed by a consortium of book-running lead managers, including Axis Capital, Kotak Mahindra Capital Company, BNP Paribas, HDFC Bank, HSBC Securities and Capital Markets (India) Pvt Ltd, Citigroup Global Markets India Pvt Ltd, ICICI Securities, IIFL Capital Services, SBI Capital Markets, and JP Morgan India.
